JOB DETAILS:
The Uganda National Oil Company (UNOC) Ltd was established under the Petroleum (Exploration, Development, and Production) Act and the Petroleum (Refining, Conversion, Transmission, and Midstream Storage) Act, both of 2013 and incorporated under the Companies Act, 2012. It is a limited liability company wholly owned by the Government of Uganda.
The overall function of UNOC is to handle the State’s commercial interests in the Oil and Gas industry and ensure that the resource is exploited in a sustainable manner.
UNOC now invites applications for persons interested to develop their career with a dynamic results-oriented Company to occupy the following positions:

Legal and Corporate Affair Department
Job Title: Senior Legal Officer (1 Vacancy)
Reports To: Manager Midstream and Contracts Management

Job Purpose:
To handle day to day-to-day legal responsibilities related to legal structuring of projects, contracts negotiations and drafting, provision of legal advisory services, drafting of relevant policies and supporting management of company compliance matters.

Essential Duties
• Providing legal advisory during project structuring including legal risk analyses of structuring options, advising on legal, regulatory, and permitting requirements, and conducting due diligence on potential partners.
• Assist in the formulation of negotiations strategies and positions.
• Actively participate in the negotiation, drafting and/or review of the agreements applicable to the upstream, midstream, and downstream ventures of UNOC, its subsidiaries.
• Draft and/or review employment contract, procurement contracts, and any other operational contracts required by UNOC and its subsidiaries.
• Communicate the signed contracts to all relevant parties to provide contract visibility, awareness and interpretation to support implementation.
• Monitor contract compliance (milestones, deliverables, invoicing etc.) and file all necessary documentation for compliance of the company.
• Oversee the maintenance of contractual records and documentation such as receipt and control of all contract correspondence, contractual changes, status reports and other documents for all projects.
• Assist in achieving compliance with the applicable legal, regulatory, contractual regime, acceptable International best practices, and internal policies in the execution of all operations of UNOC and its subsidiaries.
• Interpret, provide advice and guidance on legal, regulatory, and contractual matters to UNOC and its subsidiaries where applicable.
• Support the monitoring of legal, contractual, and regulatory developments within Uganda and globally that may impact the legal, regulatory and contractual landscape applicable to UNOC operations and ensure these are effectively communicated to relevant business.
• Manage the Legal Officers.

Qualifications, Experience and Attributes:
• A bachelor’s degree in Law (LLB). b) A diploma in legal practice.
• A master’s in law in a relevant discipline such as in Petroleum, Project financing, Corporate and/or Commercial Law, will be an added advantage.
• At least Six (6) years’ experience in a busy corporate entity of high repute.
• Experience in dealing with complex transactions in a large corporate entity is relevant including negotiating high value project contracts and providing advisory for such projects.
• Excellent analytical, researching and drafting skills.
• High level of integrity, proven track record of outstanding performance, and ability to work under pressure as part of a team.
• Managerial skills.
• Strong interpersonal and legal stakeholder management skills.
• Excellent oral and written communication skills.
