Description

Uganda Airlines is hiring a Senior Legal Officer that provides critical support to the Manager, Legal and Board Affairs, in managing daily legal and corporate governance matters. The role involves drafting, reviewing, negotiating, and managing contracts; supporting litigation and dispute resolution; conducting legal research and advisory services; and ensuring compliance with applicable legal, regulatory, and corporate governance requirements across UNACL and its subsidiaries (if any).

Key Duties and Responsibilities:

  • Support the Legal and Board Affairs Assistant Manager and or Manager Legal and Board Affairs in working with relevant stakeholders, defining negotiation strategies and actively participating in the review, negotiation and drafting of various agreements between UNACL and suppliers and the Company’s joint venture partners.
  • Support the Assistant Manager Legal and Board Affairs in the execution & effective management/implementation of the UNACL agreements.
  • Support the Legal and Board Affairs Assistant Manager in the allocation of contractual and regulatory risks during the negotiations and drafting of agreements.
  • Initiate legal opinions and advisory notes.
  • Support contract management through inter alia development (originating) of trackers & matrices and maintaining inventories of contracts.
  • Monitor transaction compliance (milestones, deliverables, invoicing etc.) and file all necessary documentation for compliance.
  • Track and ensure project contract close-out, extension, or renewal.
  • Conduct legal analysis and research on various company legal matters.
  • Support implementation of existing tools or the putting in place of relevant tools to ensure UNACL’s operations are conducted in compliance with the applicable legal, regulatory, contractual regime, acceptable best international practices and internal policies.
  • Support interpretation and provision of advice and guidance on legal, regulatory and contractual matters arising from any contract executed or under negotiation.
  • Support the monitoring of legal, contractual and regulatory developments within Uganda and globally that may impact the legal, regulatory and contractual landscape applicable to the UNACL’s operations and ensure these are effectively communicated and or implemented.
  • Assist the Assistant Manager legal & Board Affairs in ensuring that the company and its subsidiaries adhere to corporate governance requirements.
  • Assist the Assistant Manager Legal and Board Affairs in overseeing the smooth operation of board meetings and annual general meetings.
  • Provide support to the Board & Advisory functions of the Legal and Board affairs department.
  • Prepare court papers, court briefs and attend court hearings on behalf of UNACL and defend the Company’s interests.
  • Support the Assistant Manager Legal and Board Affairs with securing approvals from the Solicitor General for all contracts submitted to the Solicitor General for approval.
  • Undertake any other assignment as may be required.
  • Draft department budgets
  • Implement cost saving initiatives for the department

Financial Responsibility

  • Support drafting of departmental budgets.
  • Implement cost-saving initiatives within the department.

Qualifications, Skills and Experience:

  • Bachelor’s Degree (Hons) in Law (LLB).
  • Diploma in Legal Practice.
  • A master’s degree in law, or proof of admission to pursue a master’s degree in aviation studies, Commercial Law, Corporate Law, Project Finance, Management, or a related field, is an added advantage.
  • An enrolled advocate of the High Court of Uganda.

Knowledge & Experience

  • Minimum of three (3) years’ experience in a busy corporate entity or reputable law firm executing similar roles.
  • Demonstrated experience in drafting, negotiating, and managing contracts and compliance matters.
  • Strong analytical, research, and drafting skills.
  • Excellent judgment and ability to anticipate legal risks and issues.
  • High level of integrity and professionalism.
  • Proven track record of strong performance and ability to work under pressure in a team environment.
  • Strong managerial and interpersonal skills, particularly in management and staff relations.
