PARALEGAL – UGANDA
SeaOwl Energy Services is part of the SeaOwl Group, an international service provider specialised in a wide range of Recruitment, Manpower Contracting & Management, Asset Management, Training, Professional Services and Integrated Services for the Construction, Energy, Extractives, Logistics, Mining and Manufacturing sectors.
On behalf of our Client in the Extractives sector, we are looking for competent individuals to fill the following position:

MISSIONS/JOB DIMENSIONS
S/he will be responsible for the administrative work and tasks of the Legal Department. S/he will assist the Company Secretary in all activities and tasks related to the Board and the Company Secretarial function. S/he will also work closely with the Shareholders Relation Officer and the Executive Assistants to manage the various communications, minutes and company records. S/he will protect the interests of the Company by maintaining the correct processes and records required of the Company.

KEY FUNCTIONS
• Prepare and carry out legal administrative work and tasks.
• Prepare first document drafts, such as contracts and proofread documents.
• Review external communications to government institutions and other project stakeholders.
• Support court processes – filing of documents, attendance records, payment of fees, notarization, registration and management of external clerks.
• Assist the Legal Director in the management of the department safe and manage the legal documents of the Company.
• Prepare internal presentations, precedents, reports and other department materials.
• Conduct legal research and monitor legal developments.
• Analyse and input legal data as required.
• Prepare internal and external articles and case reports.
• Organise case files, attend court inquests and tribunals, transcribe legal opinion and compile litigation bundles as required.
• Organize diaries, schedule meetings and respond to telephone queries.
• Undertake such other assignments as requirement in furtherance of the Department’s mandate.

CONTEXT AND ENVIRONMENT
The East African Crude Oil Pipeline (EACOP) Limited is a Company registered in United Kingdom with Branches in Uganda and Tanzania. It is currently implementing the EACOP Project in Uganda through its branch EACOP UG Branch which oversees in-country activities and day to day hosting of the project in Uganda. The legal and commercial framework for the Project in Uganda has been established in the Uganda Host Government Agreement and enacted through legislation as required. The Final Investment Decision for the Project was taken early this year and the Project is in the development of the construction phase of the project which will see both international companies as contractors to the Company and the in-country activities increasing rapidly. Therefore, a strong, resourceful and reactive legal team will be essential to ensure project is executed within the agreed legal framework in Uganda and in line with the project schedule.

• Guarantee the availability and smooth administration of staff compensation and benefits scheme.
• Ensure updated company structure and accurate headcount forecasts & reports.
• Support departmental budgeting and Guarantee timely reporting

QUALIFICATIONS AND REQUIRED EXPERIENCE
Qualifications & Experience:
• Bachelor’s Degree in Law.
• Excellent organisational skills with the ability to manage multiple tasks and prioritise accordingly.
• Strong interpersonal and communication skills and a demonstrable ability to work with others.
• Excellent attention to detail with excellent verbal and written communication skills.
• Excellent time management skills and an ability to work under pressure and to tight deadlines.
• High degree of discretion and professionalism.
• Ability to work in a multi-cultural business environment with high profile conflict risk potentials with partners and/or stakeholders.
• Excellent legal research and analysis skills and reporting.
• Good business acumen and an understanding of in-house legal department’s clients.
• Oil & gas experience or qualifications will be an added advantage.

• Good communication skills (in English speaking and writing) and strong interpersonal relationship ability

Job Purpose:
To provide company secretarial and legal advisory services to facilitate effective governance practices, operations of Board affairs and cost-effective legal advice to manage legal risks while enhancing business operations and growth.

Key Result Areas
• Contribute to the development and revision of governance guiding documents and corporate polices, to reflect evolving governance best practices, Regulatory and operational requirements and the sensitization of stakeholders.
• Provide support to the Company Secretary in carrying out duties for the effective governance, performance of the Board, governance reporting and best practice.
• Attend Board committee meetings to assist the Company Secretary in taking and thereafter preparing accurate and comprehensive minutes, within agreed timelines following each meeting.
• Undertake appropriate pre and post-meeting action within agreed timelines to ensure the implementation of decisions arising from meetings by Management and that forward plans are also provided to Management.
• Support the Company Secretary in the execution of the Annual Board Work Plan and participate in the co-ordination of Board and Shareholder activities.
• Participate in the preparation of Board papers originating from the Company Secretariat and co-ordinate the collection, review and quality assurance of all documentation and materials sent from Management to the Board and Board committees within the set timelines.
• Co-ordinate the maintenance of up-to-date statutory registers, Board information/ records and filing of Board related regulatory returns/ resolutions with the relevant stakeholders according to the set timelines.
• Assist the CS/Chief Legal Officer in provision of timely and cost-effective opinions and Legal Advisory services to manage legal risks while supporting business operations and growth.
• Draft/review contracts/MOUs and participate in the negotiation of legal and service level agreements between the Bank and various counterparties including legal due diligence as appropriate.
• Implement legal contract management activities within agreed timelines, including the maintenance of up-to-date contract schedules, execution, and safe custody of the Bank’s contractual documents.
• Co-ordinate the execution of, monitoring and evaluating performance of Service Level agreements between the Legal Department and other Departments of the Bank.
• Oversee the Human and budget resources of the Legal Advisory and Board Affairs Section.
• Perform any other duties that may be assigned by Management from time to time Financial Responsibility - Section Budget.

Person Specifications
Education & Training
• Bachelor of Laws (LLB. Hons) degree from a recognised University.
• Post Graduate Diploma in legal practice from the Law Development Centre or such other institution recognised in Uganda.
• Chartered Secretary Qualification (ICSA)

Skills & Experience
• Company Secretarial and Corporate Governance practice.
• A minimum of 5 years’ experience in a Financial Institution or a large commercial Organisation/ Law Firm.
• At least 2 years’ experience in Company Secretarial support role.
• Good Computer and Digital skills, specifically (Microsoft - Excel, Word PowerPoint, and Ms Teams etc.).
