Job Title: Specialist – Commercial Legal & Governance
Reporting to: Senior Manager – Commercial Legal & Governance
Division – Corporate Services
Mission/ Core purpose of the Job
The Specialist- Commercial Legal & Governance will play a crucial role in ensuring the Company’s Compliance with Ugandan laws and regulations, mitigating legal risks, and upholding strong corporate governance standards. This position will provide expert legal advice and support on commercial matters, including contract negotiation, regulatory compliance, corporate governance, and risk management. The ideal candidate will possess a deep understanding of Ugandan commercial law, demonstrated experience in a similar role, and a strong commitment to ethical business practices.
Responsibilities
Main Job Functions:
Commercial Contract Management:
• Draft, review, negotiate, and manage commercial contracts, including supplier agreements, service agreements, ensuring compliance with Ugandan Law.
• Provide legal advice on contract interpretation and dispute resolution.
• Advise the business and employees on company related matters.
Regulatory Compliance:
• Manage regulatory reports and correspondence to ensure timely filling and submission.
• Monitor and advise on the changes in Legislation, directives and jurisprudence relevant to the company’s operations.
Litigation:
• Support in managing litigation and disputes that involve the company to ensure it is properly represented.
• Support in managing litigation and disputes, working with external counsel as needed.
• Tracking the progress of all company disputes and maintaining good record keeping for all matters.
Governance:
• Advise on corporate governance best practices and ensure compliance with the company’s internal policies and procedures.
• Support the Senior Manager in over-seeing the Board of Trustees’ portfolio.
• Support the Company secretariate function, including preparation of board meeting materials and maintaining corporate records.
Legal Risk Management:
• Identify and assess potential legal risks and support with development of strategies to mitigate them.
• Over-see the contract novation project to ensure the company has no regulatory and legal risk arising from this.
• Support with Company licensing and ensuring that the company is always compliant with all licensing requirements.
Qualifications
Education:
• Bachelor’s degree in law (Honors) from a recognized university.
• PGD in Legal Practice from LDC
Experience:
• A minimum of 2 years’ experience in Fintech, Banking or Telecom services is preferred.
• Experience working in a global/multinational enterprise with a good understanding of emerging markets.
• Experience working in a regulated industry.
Knowledge & Training
• Strong understanding of Commercial law, Company Law and National Payment Systems Laws.
• Proven experience in drafting and negotiating complex commercial contracts
• Ability to work independently and as part of a team.
• Strong ethical standards and integrity.
• Excellent analytical, problem-solving, and communication skills.
• Knowledge and competence in legal risk management.
• Honesty and open-minded
